Default Noisy Clutch

I have a '96 Eclipse 2.0 non turbo.
When I push in the clutch pedal I get a Ticking/grinding sound at the transaxel area. It will not go into gear unless I turn off the motor.
Also the fluid resevoir is empty.
This is my sons car and he says that it has been popping out of 5th gear for about a year now. I know I need to get the fluid issue straightened out but I feel like there is more to it with the noise it makes when the clutch pedal is pushed down.
Any Ideas ??
Thanks Richard

Thanks Any idea on a ballpark price that a shop would charge to repair it?

it depends. You are probably gonna want to replace the clutch at the same time. My guess would be somewhere around $500-600 but its been a long time since i have had a shop do any work on my car so its hard for me to say. Id call around and get some prices. Maybe have someone also listen to it and make sure that is the problem and not something like a slave cylinder.
